Non-Disclosure Agreement<\/h1>\n

The undersigned, on the occasion of his visit to the facilities of GPA TECH, S.L.<\/strong> ( hereinafter, “Grupo GPA<\/strong>” or “GPA<\/strong>“), with Tax Identification Code B-67562371, located at C\/ Maracaibo 1, naves 2-6, Barcelona, by means of the present document <\/p>\n

MANIFEST<\/h3>\n
    \n
  • That on the date of signing this Agreement will make a visit to the GPA facilities.<\/li>\n
  • That he\/she has been informed by GPA of the confidential and sensitive nature of the information to which he\/she may have access. and sensitive nature of the information to which it may have access, Confidential Information<\/strong> is any data or information owned or possessed by GPA (or information that is owned or possessed by GPA (or the rest of the companies of its other companies in its group) and is not generally known to the public or has not yet been disclosed. by the public or which has not yet been disclosed, whether or not in tangible or intangible form, whether or not protected by an industrial or intellectual property right, whether or not it has been expressly identified as confidential, regardless of when and how it is disclosed, including without limitation:\n
      \n
    • the existence and content of this Agreement, the discussions held between the Parties, the contents of the visit to GPA’s facilities, its participants, the identity of GPA’s employees, the organization of the facilities and any other data provided or disclosed by GPA on the occasion of their visit;<\/li>\n
    • any scientific or technical information, invention, design, process, procedure, formula, improvement, technology, technical specification or method;<\/li>\n
    • any concepts, samples, reports, data, know-how, methodologies, works in progress, designs, drawings, photographs, development tools, specifications, software, source code, object code, flowcharts, databases, studies, supporting documents;<\/li>\n
    • any market strategy, planning, financial information, forecasts or projections, operations, sales estimates, budgets, business plans and performance results relating to the past, present or future business activities of the Parties, or those of their affiliates, subsidiaries and affiliated companies;<\/li>\n
    • trade secrets; projects, ideas, product or service plans, and lists of customers or suppliers; past, present and future collaborations;<\/li>\n
    • any other information that should reasonably be recognized as Confidential Information by the Parties;<\/li>\n<\/ul>\n<\/li>\n
    • That it undertakes to sign this Confidentiality Agreement and to duly respect the obligations arising therefrom, in order to protect the confidential nature of the information that may be disclosed by GPA during the visit to its facilities.<\/li>\n<\/ul>\n

      And, by virtue of this, undertakes to comply with the following<\/p>\n

      OBLIGATIONS<\/h3>\n
        \n
      1. The undersigned may not photograph, record or take images in any way of the premises or the persons, machinery and vehicles found in them during the visits made. At the same time, it must follow the instructions of the GPA staff at all times and respect the protocols for action in cases of emergency.<\/li>\n
      2. The undersigned undertakes to keep the maximum reserve and secrecy about the information to which it may have access. For this purpose, the undersigned may not store, reproduce, modify or disclose such information to third parties, and after the end of the visit it must not keep any copy of the confidential information provided in any type of support.<\/li>\n
      3. The undersigned will inform, where appropriate, its staff, collaborators and \/ or related entities of the obligations established in this Confidentiality Agreement. It will make as many warnings and sign as many documents as necessary with the aforementioned persons, in order to ensure compliance with such obligations on its part.<\/li>\n
      4. The confidentiality obligations established in this Agreement will have a duration of four (4) years, counting from the signing of the same.<\/li>\n
      5. In no case does the exchange of information between the Parties modify the ownership of GPA’s intellectual and industrial property rights, whether patented\/registered or not. By virtue thereof, in no event shall this Agreement be deemed to grant the undersigned a license or other right to any patent, industrial property right or Confidential Information disclosed by GPA. The undersigned expressly acknowledges that such Confidential Information is the exclusive property of GPA and agrees to respect such rights in good faith.<\/li>\n
      6. The breach by the undersigned of any of the obligations established under this Agreement and, in general, by the regulations of protection of industrial property, intellectual property and data protection, will mean the consideration as responsible for said breach and the responsibility for the damages caused.<\/li>\n
      7. Any problem related to the application of this Agreement will be resolved using Spanish law and before the courts of the city of Barcelona, expressly waiving any other jurisdiction that may correspond to the Parties.<\/li>\n
      8. That the processing of the personal data of the undersigned is necessary for the satisfaction of legitimate interests of GPA as responsible for such treatment (protection of Confidential Information to which the undersigned may have access), in accordance with art.6.1.f of the General Data Protection Regulation (EU 2016\/679). For this purpose, the undersigned acknowledges having been informed of GPA’s Data Protection Policy and having given his\/her consent for the processing of his\/her personal data in the corresponding form. The undersigned is reminded of the rights of access, rectification, portability and deletion of data and limitation or opposition to their treatment, which can be exercised before GPA TECH, S.L., with address at Calle Maracaibo 1, Naves 2 a 6 \u2013 08030 Barcelona (Spain) (email rgpd@gpainnova.com).<\/li>\n<\/ol>\n

        And for the record, and in proof of conformity and acceptance to the content of this letter, whoever appears signs it in Barcelona, on the date indicated next to his\/her signature:<\/p>\n\n
